Terms of Service

1. Who We Are

Silxine is a brand of Winpac Advertising LLC, a California limited liability company (Entity No. 202357211971), located at 17701 Cowan, Suite 230, Irvine, CA 92614, USA. We are the seller of record for orders placed through silxine.com (the “Site”).

In these Terms, “Silxine,” “we,” “us,” and “our” refer to Winpac Advertising LLC.

2. Acceptance and Eligibility

By using the Site, you agree to these Terms. You must be at least 18 years old, or the age of majority where you live, to place an order. If you’re acting on behalf of an organization, you confirm you have authority to bind it to these Terms.

3. Changes to These Terms

We may update these Terms from time to time. The updated version takes effect when it’s posted here with a new “Last updated” date. For material changes, we’ll provide additional notice where required by law.

4. Products and Pricing

We do our best to describe each product accurately — fabric, weight, sizing, construction, and care. Colors may appear slightly different on different screens. Silk is a natural fiber: color, hand-feel, and weight may vary slightly between production runs within published tolerances.

Prices are in U.S. dollars unless noted, and may change without notice. Sales tax and shipping are calculated at checkout.

Occasionally errors happen — typos, pricing mistakes, stock errors. We reserve the right to correct any errors and to cancel any order placed in reliance on incorrect information, even after the order has been submitted. If we cancel, we’ll refund any payment in full.

5. Orders and Payment

When you place an order, you’re making an offer to purchase. Your order is accepted when we send you an order confirmation email. We may decline or cancel any order — for example, if a product is out of stock, pricing was incorrect, we suspect fraud, or we’re unable to ship to your address. If we cancel, we refund any payment.

Payments are processed by Stripe through Shopify Payments. By submitting payment, you authorize us (through our payment processor) to charge your payment method for the order total, including taxes and shipping.

6. Pre-Launch Deposit (Batch No. 1)

Silxine is currently in pre-launch. The $15 pre-launch deposit secures a set from Batch No. 1 and is applied as credit toward your final order when the batch ships.

• Refundable before launch: email hello@silxine.com and we’ll refund your $15 in full.
• Applied at launch: when Batch No. 1 ships, you’ll receive a coupon code that automatically deducts $15 from your final order.
• No obligation: placing a deposit doesn’t obligate you to buy.

7. Shipping, Returns, and Refunds

The full shipping and return policy is in our Shipping & Returns Policy, which is incorporated into these Terms by reference. In short: 30-day returns, free through Batch No. 1; deposit refundable before launch. Title and risk of loss pass to you on delivery to the carrier.

8. Intellectual Property

All content on the Site — the Silxine name and logo, photographs, copy, product designs, and the way these elements are arranged — is owned by Winpac Advertising LLC or our licensors, and is protected by copyright, trademark, and other laws.

You may view and share Site content for personal, non-commercial use. Anything else — reproduction, redistribution, modification, republication, scraping, commercial use — requires our written permission.

If you believe content on the Site infringes your copyright, please email hello@silxine.com with the relevant details and we will respond promptly in accordance with the Digital Millennium Copyright Act (DMCA).

9. Acceptable Use

You agree not to:

• Use the Site for any unlawful purpose
• Interfere with the Site’s operation or security, or with other users’ access
• Scrape, copy, or republish Site content without permission
• Use bots or crawlers, except properly identified search-engine crawlers
• Impersonate any person or entity, or submit fraudulent information

10. Electronic Communications

By creating an account, placing an order, or signing up for our waitlist or newsletter, you consent to receive electronic communications from us. These include order confirmations, shipping updates, customer service responses, and (with your consent) marketing emails.

Marketing emails are sent through Klaviyo. Every marketing email includes an unsubscribe link, in line with the U.S. CAN-SPAM Act. Unsubscribing applies to marketing emails only — transactional emails (order and shipping) continue as needed.

If we offer SMS messaging, by providing your mobile number you consent to receive marketing and transactional text messages. Message and data rates may apply. Reply STOP to opt out, HELP for help. Consent to SMS is not a condition of any purchase.

11. User Submissions

If you submit a review, photograph, comment, or other content to us or to the Site (“User Submissions”), you grant us a worldwide, royalty-free, perpetual, non-exclusive license to use, reproduce, modify, publish, and display that content in our marketing materials and elsewhere in connection with the Silxine brand. You confirm the content is yours and doesn’t infringe anyone else’s rights.

We’re not obligated to use any submission, and we may remove any submission at any time.

12. Third-Party Links

The Site may link to third-party sites or services. We don’t control those sites and aren’t responsible for their content, privacy, or products. Following a link is at your own risk.

13. Disclaimers

The Site and all content, products, and services are provided “as is” and “as available,” without warranty of any kind, except as required by law. To the maximum extent permitted, we disclaim all warranties, including merchantability, fitness for a particular purpose, and non-infringement.

Silk is a natural fiber. Care instructions on the garment label are part of the product warranty. Items damaged by improper care (washing, drying, storage, contact with bleach or perfume) are not eligible for return or refund.

14. Limitation of Liability

To the fullest extent permitted by applicable law, we are not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages — including lost profits, lost data, or loss of goodwill — arising out of your use of the Site or any product, even if we’ve been advised of the possibility of such damages.

Our total liability for any claim arising out of these Terms or any product purchased through the Site is limited to the greater of (a) the total amount you paid us for the product giving rise to the claim in the twelve (12) months before the event, or (b) one hundred U.S. dollars (US$100).

Nothing in these Terms limits liability that cannot be limited under applicable law (such as for fraud or for death or personal injury caused by negligence). Some jurisdictions don’t allow certain exclusions, so the limits above may not apply to you in full.

15. Indemnification

You agree to indemnify, defend, and hold harmless Winpac Advertising LLC and our officers, directors, employees, agents, and licensors from any claim, loss, damage, liability, or expense (including reasonable attorneys’ fees) arising out of: (a) your breach of these Terms; (b) your misuse of the Site or any product; (c) your violation of any law or any third party’s rights; or (d) any User Submission you provide.

16. Time Limit on Claims

Any claim arising out of or relating to these Terms or your use of the Site must be brought within one (1) year after the cause of action accrues, or it is permanently barred.

17. Termination

We may suspend or end your access to the Site at any time, with or without cause or notice. Sections that should naturally survive — intellectual property, User Submissions licensing, disclaimers, limitation of liability, indemnification, governing law — will survive.

18. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of California, USA, without regard to its conflict-of-law principles. The U.N. Convention on Contracts for the International Sale of Goods does not apply.

Any dispute arising out of these Terms, the Site, or any product purchased through it shall be brought exclusively in the state or federal courts located in Orange County, California, and you consent to the personal jurisdiction of those courts.

19. Severability and Entire Agreement

If any provision of these Terms is held to be unenforceable, it will be enforced to the maximum extent permissible, and the remaining provisions stay in effect. These Terms, together with the Privacy Policy and the Shipping & Returns Policy, form the entire agreement between you and us regarding your use of the Site.
